Welcome to Gimmzi. These Terms of Use ("Terms") govern your access to and use of the Gimmzi mobile application, website, and related services (collectively, the "Services"), provided by Gimmzi ("we," "our," or "us").

By creating an account or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

You must be at least 13 years of age to use our Services. By using Gimmzi, you represent that you meet this requirement. If you are using the Services on behalf of a business, you represent that you have the authority to bind that business to these Terms.

2. Your Account

To access certain features, you must create an account. You agree to:

• Provide accurate and complete registration information
• Keep your login credentials secure and not share them with others
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.

3. Loyalty Points and Rewards

Gimmzi allows consumers to earn loyalty points at participating local businesses and redeem them for deals and discounts. Please note:

• Points have no cash value and are not transferable
• Points may expire after a period of account inactivity, as described in the app
• We reserve the right to modify the points system, earning rates, or redemption options at any time with reasonable notice
• Fraudulent earning or redemption of points will result in account termination

4. Merchant Terms

Businesses that participate in the Gimmzi platform as merchants agree to additional terms set forth in the Merchant Agreement. Key points include:

• Merchants are responsible for honoring all deals and offers they publish through the platform
• Merchants must maintain accurate business information on their Gimmzi Page
• Gimmzi reserves the right to remove merchants who violate platform guidelines or consumer trust

5. Prohibited Conduct

You agree not to:

• Use our Services for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Services
• Scrape, crawl, or otherwise extract data from our Services
• Impersonate another person or entity
• Use the Services to send spam, unsolicited messages, or harmful content
• Interfere with or disrupt the integrity or performance of the Services

6. Intellectual Property

All content, branding, logos, and technology within the Gimmzi Services are owned by or licensed to Gimmzi. You may not reproduce, distribute, or create derivative works without our express written permission. Nothing in these Terms grants you a license to use the Gimmzi name, logo, or trademarks.

7. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Gimmzi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid to us in the twelve months preceding the claim, if any.

9. Indemnification

You agree to indemnify, defend, and hold harmless Gimmzi and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services or your violation of these Terms.

10. Termination

We reserve the right to suspend or terminate your access to the Services at our discretion, with or without notice, if we believe you have violated these Terms or for any other reason. Upon termination, your right to use the Services will immediately cease.

11. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in New Hanover County, North Carolina.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Services after any changes constitutes your acceptance of the new Terms.
